Artisan Furniture Terms and Conditions (Drop-Ship)
Our Terms and Conditions are designed to make you aware of your, and our, responsibilities along with the benefits and restrictions of our products and services. Artisan Furniture (www.artisanfurniture.ca) is an online portal offering handmade furniture, soft furnishings, and giftware exclusively to trade only. We do not deal with the public. By placing an order with us, you will be deemed to have read, understood, and accepted these terms and conditions. By signing up for a trade account, you agree to our terms and conditions.
Acceptance of your order is entirely at the discretion of Artisan Furniture and may depend on various factors including legitimacy of business, credit check, trading track record, and understanding of handmade furniture. Artisan Furniture requires evidence of business trading before supplying to any potential buyer. You must provide documentary proof (e.g., GST/HST registration, business invoices) and complete an online trade application form. Artisan Furniture reserves the right to reject orders and cancel trade accounts without notice.
Interpretation
The definitions in this clause apply in the terms and conditions set out in this document:
- Force Majeure Event: Events beyond our reasonable control.
- Goods: The products we are selling to you as set out in the Order.
- Order: Your order for the Goods.
- Order Confirmation: Confirmation of the order.
- Seller / We: Artisan Furniture at ArtisanFurniture.net.
- Buyer / You: A business with a valid trade account.
- Drop-ship: Trade account holder engaged in selling Artisan Furniture products to the public.
- End User / Final Customer / Consumer: A member of the public buying from a valid trade account holder.
- Terms: The terms and conditions set out in this document.
- Writing: Includes email or any other mode of electronic communication.
Headings do not affect the interpretation of these terms.
Basis of Sale
These Terms, the Order, and our price list set out the whole agreement between Artisan Furniture and the Trade Account Holder. Ensure that the details are complete and accurate before committing to the contract. Any changes must be agreed upon in writing. We only accept responsibility for statements and representations made in writing.
Samples, drawings, dimensions, and advertising are for illustrative purposes only. Variations in size, colour, design, texture, and finish are natural and do not constitute defects. The Order is an offer to enter into a binding contract, which we are free to accept or decline. These Terms become binding when:
- We issue a confirmation email or phone call.
- We notify you that the Goods are ready for delivery.
Trade Account
By completing a trade account application, you confirm and agree to our terms and that you are a valid Canadian registered business. Misrepresentation will invalidate your trade account. We reserve the right to suspend or cancel your Trade Account for various reasons, including non-compliance with terms, disputes, outstanding payments, domain name confusion, PPC violations, insolvency, or bankruptcy.
Bespoke Orders
- No Cancellations or Refunds: We do not accept cancellations, refunds, or replacements for bespoke products once production has started or the product is in transit.
- Damage Claims: We accept replacements or refunds only if the item arrives damaged, provided sufficient evidence is submitted.
- Deposit and Payment: A non-refundable 50% deposit is required. The balance must be paid before delivery.
Back Orders
Back orders follow the same Standard Operating Procedure and returns policy as standard orders. Delivery timelines for back orders are typically 1-8 weeks.
The Goods
We warrant that the Goods will:
- Conform to their description and manufacturer’s specifications.
- Be of satisfactory quality.
- Be fit for their intended purpose.
- Be free from material defects.
- Comply with applicable Canadian statutory and regulatory requirements.
This warranty does not apply to defects arising from wear and tear, willful damage, negligence, improper use, or unauthorized alterations.
Handmade Goods
Our products are handcrafted from solid wood. Variations in size, colour, finish, texture, and grain are natural occurrences and not considered defects. Ensure you understand the nature of handmade products to avoid disappointment.
Defective Goods and Returns
- Notification: Notify us within 48 hours of receiving the order.
- Submission: Submit returns through the ‘My Returns’ tab on your trade account dashboard, quoting the Product Code and PO number, with relevant pictures and explanations.
Depending on the outcome, we may:
- Issue a credit note.
- Issue a discount.
- Provide a full or partial refund.
- Replace the Goods.
- Repair the Goods.
Sale or Return
Goods are not sold on a ‘sale or return’ basis. The 14-day cooling-off period does not apply as we are a trade-only website.
Delivery
Subject to stock availability, we aim to deliver orders within three working days and will provide tracking information. Delivery is deemed complete when the Goods are delivered to you or your end-user. We are not liable for delays caused by factors beyond our control.
Title and Risk
Goods are at your risk from the time of delivery or collection. Ownership passes to you upon full payment. Until then, you must store the Goods separately and identifiable as our property.
Price and Payment
Prices are as set out on our website or over email and exclude GST/HST. Prices may change, but confirmed Orders will not be affected. Payment must be made in advance, and we accept EFT or wire transfers.
Limitation of Liability
We are not liable for indirect or consequential losses arising from defective goods, delivery delays, or damage during transit. Ensure sufficient access for delivery and assist the driver.
Force Majeure
We are not liable for failures caused by events beyond our reasonable control, such as strikes, natural disasters, or pandemics. Obligations are suspended during such events.
General
If any part of these Terms is deemed invalid or unenforceable, the remaining terms will continue in effect. Failure to enforce any term does not constitute a waiver.
